Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Paralegal AI platform at useparalegal.ai (the "Service"), operated by Paralegal AI, Inc. ("Paralegal AI," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

1. Description of Service

Paralegal AI is an AI-powered legal technology platform designed for attorneys, paralegals, and legal professionals. The Service provides:

  • Document Review: automated analysis of legal documents to identify potential issues, risks, and areas requiring attention
  • Legal Research: AI-assisted research that synthesizes information from multiple sources into structured memos with citations
  • Document Editing: AI-generated suggestions for revisions, with tracked-changes-style review and acceptance workflow
  • Document Management: secure upload, storage, and organization of legal documents

2. Important Disclaimer: Not Legal Advice

THE SERVICE DOES NOT PROVIDE LEGAL ADVICE. Paralegal AI is a tool designed to assist legal professionals in their work. All AI-generated outputs — including document reviews, research memos, citations, and editing suggestions — are generated by artificial intelligence and are provided for informational purposes only.

Use of the Service does not create an attorney-client relationship between you and Paralegal AI, Inc. The Service is not a substitute for the professional judgment of a licensed attorney. You are solely responsible for:

  • Independently verifying all AI-generated analysis, citations, and suggestions
  • Exercising professional judgment in relying on any output from the Service
  • Ensuring compliance with all applicable laws, rules of professional conduct, and ethical obligations
  • Maintaining appropriate supervision and oversight of all legal work product

AI-generated content may contain errors, omissions, or hallucinations. You must review all outputs before relying on them in any legal matter.

3. Account Registration and Responsibilities

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. The Service is intended for use by legal professionals and law firms.

3.2 Account Security

You are responsible for:

  • Providing accurate and complete registration information
  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Promptly notifying us of any unauthorized access to your account

3.3 Organization Accounts

If you create an organization account, you may invite team members with varying roles (owner, admin, member). As the organization owner or admin, you are responsible for managing access, permissions, and ensuring all team members comply with these Terms.

4. Acceptable Use

You agree not to use the Service to:

  • Upload, process, or store content that is illegal, fraudulent, or violates the rights of others
  • Circumvent or attempt to circumvent usage limits, rate limits, or other technical restrictions
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated systems (bots, scrapers) to access the Service outside of authorized API integrations
  • Impersonate another person or entity, or misrepresent your affiliation
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service to develop a competing product or service
  • Share your account credentials with unauthorized parties
  • Upload documents containing malware, viruses, or other harmful code

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice, depending on the severity of the violation.

5. Intellectual Property

5.1 Your Content

You retain all ownership rights to the documents and content you upload to the Service ("Your Content"). By uploading Your Content, you grant us a limited, non-exclusive license to process, store, and transmit Your Content solely as necessary to provide the Service to you.

5.2 AI-Generated Outputs

AI-generated outputs (document reviews, research memos, edit suggestions) produced by the Service based on Your Content are provided to you for your use. You may use these outputs in your professional work. However, these outputs are generated using our proprietary prompts, workflows, and processing pipelines, and you may not use them to develop competing services.

5.3 Our Platform

The Service, including its software, design, templates, prompts, workflows, documentation, and branding, is owned by Paralegal AI, Inc. and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

6. Subscription and Billing

6.1 Plans and Pricing

The Service is offered under the following subscription tiers:

  • Solo — $49/month: 1 user, 50 documents/month, 30 research queries/month
  • Small Firm — $149/month: up to 5 users, 200 documents/month, 100 research queries/month
  • Firm+ — $299/month: up to 20 users, unlimited documents, unlimited research queries, priority support

Prices are subject to change. We will provide at least 30 days' notice before any price increase takes effect for existing subscribers.

6.2 Billing and Auto-Renewal

Subscriptions are billed monthly in advance via Stripe. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method on file for each renewal period.

6.3 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at [email protected]. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until the end of the paid period. We do not provide pro-rated refunds for partial billing periods.

6.4 Free Trial

We may offer a free trial period for new accounts. At the end of the trial, you will need to subscribe to a paid plan to continue using the Service. We will notify you before the trial expires.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, OR THAT ANY AI-GENERATED OUTPUT WILL BE ACCURATE, COMPLETE, OR FREE OF ERRORS.
  • IN NO EVENT SHALL PARALEGAL AI, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.
  • OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

YOU ACKNOWLEDGE THAT AI-GENERATED OUTPUTS MAY CONTAIN ERRORS AND THAT YOU ASSUME ALL RISK ASSOCIATED WITH YOUR USE OF SUCH OUTPUTS IN LEGAL MATTERS.

9. Indemnification

You agree to indemnify, defend, and hold harmless Paralegal AI, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Your Content or any documents you upload
  • Your violation of these Terms
  • Your reliance on any AI-generated output from the Service
  • Any claim by a third party related to your use of the Service in connection with legal matters

10. Termination

10.1 By You

You may terminate your account at any time by contacting us at [email protected]. Upon termination, your right to use the Service ceases immediately at the end of your current billing period.

10.2 By Us

We may suspend or terminate your account at any time if you violate these Terms, if required by law, or if we discontinue the Service. For violations of the Acceptable Use policy, we may terminate immediately without notice. In other cases, we will provide reasonable notice when practicable.

10.3 Effect of Termination

Upon termination, your access to the Service will cease and your data will be handled in accordance with our Privacy Policy. You may request an export of your data prior to termination. We will retain your data for up to 30 days after termination to facilitate data export requests, after which it will be permanently deleted (except for billing records required by law).

11. Modifications to the Service and Terms

11.1 Service Changes

We reserve the right to modify, suspend, or discontinue any feature or aspect of the Service at any time. We will provide reasonable notice of material changes that negatively affect your use of the Service.

11.2 Terms Changes

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Effective Date" above. For significant changes, we will provide at least 30 days' advance notice via email. Your continued use of the Service after updated Terms take effect constitutes acceptance.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall first be submitted to good-faith mediation. If mediation is unsuccessful, the dispute shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with arbitration conducted in Wilmington, Delaware.

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

13. General Provisions

  • Entire Agreement: these Terms, together with the Privacy Policy, constitute the entire agreement between you and Paralegal AI, Inc. regarding the Service
  • Severability: if any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect
  • Waiver: our failure to enforce any provision of these Terms shall not constitute a waiver of that provision
  • Assignment: you may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
  • Force Majeure: we shall not be liable for any failure to perform due to causes beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or failures of third-party services
